TERMS & CONDITIONS OF SERVICE

1. Acceptance of Terms

By submitting payment, purchasing hours, creating an account, or using the Uppipe platform, the client acknowledges and fully accepts these Terms and Conditions. These Terms govern all services delivered by Brandnew Studio S.A.S. through the Uppipe system.

2. Intellectual Property & Usage Rights

2.1 Final Deliverables

All creative deliverables become the client’s property only after full payment of the contracted hours. Upon payment, the client receives commercial usage, reproduction, and modification rights for the final approved assets only.

2.2 Platform, Templates, and Internal Tools

All templates, editable production files, creative frameworks, proprietary workflows, dashboards, automations, scripts, prompts, methodologies, UX logic, and internal design systems remain the exclusive intellectual property of Uppipe and Brandnew Studio S.A.S. These are not transferred to the client unless explicitly stated in writing.

2.3 Portfolio Use

Uppipe may store and use final works for internal learning and portfolio purposes unless restricted in writing.

3. Service Model & Workflows

3.1 Hours-Based Workflow

All design services operate under an hourly system. Time spent on design, animation, revisions, project management, communication, file exports, and documentation is discounted from the client’s hourly balance.

3.2 Requests

A new request must be submitted for any asset previously approved as final, any adaptation, size change, or new layout, or any modification that alters the original approved version. All requests and revisions are tracked transparently through the Uppipe platform.

3.3 Approvals

Approval in writing or through the platform marks an asset as final. Any further changes constitute a new request.

4. Revisions & New Requests

4.1 Revision Rules

Each round of revisions consumes hours from the purchased package. Revisions include changes to copy, layout, animation timing, color, imagery, or design direction.

4.2 New Requests

Once an asset has been approved as final, any modification—however small—constitutes a new request.

5. Hour Credit, Expiration, Refund Policy & Contract Types

5.1 On-Demand / Free-Contract Packages

Hours are valid for 30 calendar days from the purchase date. Hours expire automatically and cannot be paused, extended, rolled over, or refunded. If hours expire mid-project, the client must purchase additional hours to continue work or receive deliverables.

5.2 Annual Corporate Contracts

For clients under a 12-month agreement:

The full annual pool of hours is credited upfront at the start of the contract.
Payments are made in equal monthly installments.
Hours may be used at any pace throughout the 12 months.
Unused hours expire at the end of the contract year and do not roll over.
Early cancellation does not grant refunds of unused hours.

5.3 Insufficient Hours

If a request exceeds the remaining balance, work pauses until new hours are purchased.

6. Rush Hours & Automation Add-ons

6.1 Rush Hours

Rush mode offers accelerated delivery under the following conditions:

6-hour turnaround
Billed at 2× the client’s current hourly package rate
Only assets listed as Rush-eligible can be submitted
Rush availability depends on team capacity

6.2 Automation Hours

Automation Hours are available for repetitive or bulk design tasks optimized through semi-automated workflows.

7. Delivery Times & Delays

7.1 Standard Turnaround

Average delivery times:

24–48 business hours (standard)
6 hours (Rush)

These are estimates, not guarantees.

7.2 Client-Caused Delays

Delays may occur when required brand assets, KPIs, footage, text, guidelines, approvals, or clarifications are missing. Reprocessing of assets made with placeholders consumes additional hours.

7.3 Notification of Delays

Any expected production delay will be communicated proactively by the project manager.

8. File Delivery & Working Files

8.1 Final Deliverables

Uppipe delivers final exported files in the formats originally agreed.

8.2 Working Files

Editable working files (AI, PSD, AE, Figma, etc.) are not included unless explicitly agreed. Delivery of working files may incur an additional cost.

9. Uppipe Platform Proprietary Rights

The Uppipe platform, workflows, dashboards, templates, automations, logic, production processes, and software architecture are proprietary. Clients may not copy, replicate, reverse-engineer, rebuild, extract, automate independently, or imitate the Uppipe system in any way. Unauthorized use constitutes a violation of international intellectual property law.

10. Confidentiality & Data Handling

All information shared by the client—including brand materials, assets, performance data, and communications—is confidential. Uppipe maintains reasonable digital and procedural safeguards to protect client data.

11. Limited Liability

Uppipe’s total liability shall not exceed the total amount paid for the contracted hours.
Uppipe is not responsible for indirect damages, profit loss, or third-party claims related to client-provided materials.
The client is responsible for securing rights to any materials they submit.

12. Payments & Billing

Hours are consumed only after payment is received.
Bank fees, wire fees, and currency conversion costs must be covered by the client.
No refunds apply to hours, add-ons, monthly installments, or unused contract time.
Late payments may pause all projects.

13. Termination

The client may stop using the service at any time; unused hours are non-refundable.
Uppipe may suspend or terminate service if payments are overdue, the platform is misused, or abusive behavior occurs.

14. Jurisdiction & Governing Law

These Terms & Conditions are governed by the laws of the Republic of Colombia.
Any disputes shall be resolved exclusively in the courts of Bogotá D.C., Colombia.

15. Acceptance

By submitting payment or using the Uppipe platform, the client acknowledges and accepts these Terms & Conditions.
